Pioneer Power Solutions Announces Pricing of Public Offering of Common Stock and Listing on Nasdaq Capital Market

Fort Lee, NJ, September 19, 2013 / PRNewswire / – Pioneer Power Solutions, Inc. (Nasdaq: PPSI) (“Pioneer” or the “Company”) announced the pricing of a public offering of 1,100,000 shares of common stock at a price of $7.00 per share. Closing of the offering is expected to occur on September 24, 2013, subject to customary closing conditions. The underwriters have been granted a 30-day option to purchase up to an additional 165,000 shares of common stock from the Company to cover over-allotments, if any, all at the offering price less the underwriting discount.

The Company also announced that, effective as of September 19, 2013, its common stock will begin trading on the Nasdaq Capital Market under the symbol “PPSI.” In connection with its listing on the Nasdaq Capital Market, the Company’s common stock will cease trading on the OTC Bulletin Board and the OTCQB.

The Company intends to use the proceeds of this offering to repay its outstanding borrowings under a U.S. revolving credit line with Bank of Montreal, Chicago Branch, with the remaining balance to be used to fund acquisitions, working capital and other general corporate purposes.

Roth Capital Partners is acting as sole book-running manager for the offering. Monarch Capital Group is acting as co-manager.
